Terms of Use#

1. Acceptance and Agreement#

By accessing, using, or registering for USSDK (the “Service” or “Platform”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Use (“Terms”). If you are using USSDK on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use USSDK. You must be at least 18 years old or the age of majority in your jurisdiction to use this Service.

These Terms constitute a legally binding agreement between you and USSDK (“we,” “us,” or “our”). Your continued use of the Service constitutes acceptance of any modifications to these Terms.

2. Description of Service#

USSDK is a development platform that enables users to build, test, and deploy USSD (Unstructured Supplementary Service Data) applications through an intuitive drag-and-drop interface. Our Service includes:

Visual USSD application builder with node-based interface
Application simulation and testing environment
API integration capabilities for dynamic content
Survey and data collection tools with export functionality
Application deployment and management features
Technical support and consultation services

The Service is provided as a Software-as-a-Service (SaaS) platform accessible via web browser. We reserve the right to modify, update, or discontinue features of the Service at our discretion, with reasonable notice to users when feasible.

3. User Accounts and Registration#

Account Creation#

To access certain features of USSDK, you must create an account by providing accurate, current, and complete information. You agree to:

Provide truthful and accurate registration information
Maintain and update your account information
Keep your login credentials confidential and secure
Notify us immediately of any unauthorized access to your account

Account Responsibility#

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account due to your failure to maintain account security.

Account Termination#

We reserve the right to suspend or terminate accounts that violate these Terms or engage in activities that harm the Service or other users.

4. Acceptable Use Policy#

Permitted Uses#

You may use USSDK to:

Build legitimate USSD applications for lawful purposes
Test and simulate USSD applications within the platform
Integrate with your own APIs and services
Conduct surveys and collect data in compliance with applicable laws
Access support and training resources

Prohibited Activities#

You agree not to:

Use the Service for any illegal, fraudulent, or unauthorized purposes
Create applications that violate telecommunications regulations or carrier policies
Build applications that infringe on intellectual property rights of others
Develop malicious, harmful, or spam-related USSD applications
Attempt to reverse engineer, hack, or compromise the Service
Use the Service to collect personal data without proper consent and legal basis
Share your account credentials with unauthorized parties
Violate any applicable laws, regulations, or third-party rights

Content Standards#

All USSD applications and content created using our platform must:

Comply with local telecommunications and data protection laws
Respect user privacy and obtain necessary consents
Include appropriate disclaimers and terms for end-users
Avoid misleading, deceptive, or fraudulent practices

5. User Content and Data#

Your Content#

You retain ownership of all content, data, and USSD applications you create using USSDK (“User Content”). This includes:

USSD application logic and flow designs
Text content, menus, and messages
Survey questions and collected responses
API integrations and custom code
Any other materials you upload or create

License to USSDK#

By using our Service, you grant USSDK a limited, non-exclusive, royalty-free license to:

Host, store, and process your User Content to provide the Service
Display your content within the platform interface
Make temporary copies necessary for technical operations
Provide customer support and troubleshooting assistance

This license exists only for the duration of your use of the Service and terminates when you delete content or close your account.

Data Collection and Surveys#

When using USSDK’s survey and data collection features:

You are responsible for obtaining all necessary consents from respondents
You must comply with applicable data protection laws
You warrant that you have the right to collect and process the data
We provide tools to export data, but you are responsible for its subsequent handling

Content Removal#

We reserve the right to remove User Content that violates these Terms, applicable laws, or poses security risks to the platform or other users.

6. Intellectual Property#

USSDK Ownership#

USSDK and all related technology, software, features, and content (excluding User Content) are owned by us and protected by intellectual property laws. This includes:

The USSDK platform, interface, and underlying technology
Documentation, tutorials, and support materials
Trademarks, logos, and branding elements
Proprietary algorithms and methodologies

User License#

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use USSDK for your intended business purposes. This license does not include the right to:

Redistribute, resell, or sublicense the Service
Modify, reverse engineer, or create derivative works
Remove or alter proprietary notices or branding
Use our trademarks without explicit permission

Third-Party Content#

The Service may include third-party software, APIs, or content. Your use of such materials is subject to their respective terms and conditions.

DMCA Compliance#

We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe content on our platform infringes your rights, please contact us with detailed information about the alleged infringement.

7. Privacy and Data Protection#

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Processing#

By using USSDK, you acknowledge that we may:

Process your account and usage data to provide the Service
Store your User Content on secure servers
Use analytics to improve platform performance
Share data with service providers who assist in platform operations

User Responsibilities#

When collecting data through USSD applications you create:

You must obtain appropriate user consents
Comply with applicable data protection regulations
Implement appropriate security measures
Provide clear privacy notices to your end-users

8. Payment Terms#

Pay-As-You-Go Model#

USSDK operates on a pay-as-you-go pricing model where you pay only for the resources and services you actually use. Current pricing for usage-based services is available on our website and may be updated from time to time.

Price Changes#

We reserve the right to modify usage-based pricing with at least 30 days’ advance notice. Price changes will apply to usage incurred after the effective date of the change.

9. Disclaimers#

Service Availability#

USSDK is provided “as is” and “as available.” While we strive for high availability, we do not guarantee uninterrupted access to the Service. Maintenance, updates, and technical issues may temporarily affect service availability.

No Warranties#

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:

Warranties of merchantability or fitness for a particular purpose
Warranties regarding the accuracy or reliability of content
Warranties that the Service will meet your specific requirements
Warranties regarding the security or error-free operation of the platform

Third-Party Services#

We are not responsible for the availability, accuracy, or functionality of third-party services, APIs, or telecommunications networks that may be used in conjunction with USSDK applications.

Regulatory Compliance#

You are solely responsible for ensuring that your USSD applications comply with all applicable telecommunications regulations, carrier requirements, and local laws in your jurisdiction.

10. Limitation of Liability#

To the maximum extent permitted by applicable law:

Liability Cap#

Our total liability to you for any claims arising from or related to these Terms or your use of USSDK shall not exceed the amount you paid us in the 6 months preceding the event giving rise to liability.

Excluded Damages#

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

Lost profits or revenue
Business interruption losses
Loss of data or information
Cost of substitute services
Damage to reputation or goodwill

User Responsibility#

You acknowledge that you use USSDK at your own risk and are responsible for:

The performance and compliance of applications you create
Any damages resulting from your use of the Service
Backup and security of your User Content and data

11. Indemnification#

You agree to defend, indemnify, and hold harmless USSDK, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

Your use of the Service or violation of these Terms
User Content you create, upload, or distribute through the platform
USSD applications you develop and deploy using our Service
Your violation of any third-party rights or applicable laws
Any claims made by end-users of your USSD applications

This indemnification obligation survives termination of these Terms and your use of the Service.

12. Termination#

Termination by You#

You may terminate your account and discontinue use of USSDK at any time by:

Contacting our support team for assistance

Termination by USSDK#

We may suspend or terminate your access to the Service immediately if:

You violate these Terms or our Acceptable Use Policy
You engage in activities that harm the Service or other users
Legal or regulatory requirements necessitate termination

Effect of Termination#

Upon termination:

Your access to the Service will be immediately revoked
You remain responsible for any outstanding fees or obligations
We may delete your User Content after a reasonable grace period
Provisions of these Terms that should survive termination will remain in effect

Data Export#

Before account termination, you may export your User Content and data using the tools provided in the platform. We are not obligated to provide data in specific formats or maintain data after account closure.

13. Modifications to Terms#

We reserve the right to modify these Terms at any time. When we make changes:

Notice of Changes#

Material changes will be communicated via email or platform notification
The updated Terms will be posted on our website with a new effective date
Continued use of the Service after changes constitutes acceptance

User Options#

If you disagree with modified Terms:

You may terminate your account before the changes take effect
Continued use after the effective date means you accept the new Terms
Some changes may be required by law or regulation and will apply regardless

14. Governing Law and Disputes#

Governing Law#

These Terms are governed by and construed in accordance with the laws of Ghana, without regard to conflict of law principles.

Dispute Resolution#

Before initiating any legal proceedings, parties agree to attempt resolution through:

Direct negotiation between the parties
Mediation by a mutually agreed-upon mediator
Binding arbitration if mediation is unsuccessful

Arbitration#

Any disputes not resolved through negotiation or mediation shall be settled by binding arbitration under the rules of Ghana Arbitration Centre. The arbitration shall be conducted in Ghana and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver#

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Exceptions#

Notwithstanding the above, either party may seek equitable relief in court for intellectual property infringement or violation of confidentiality obligations.

15. General Provisions#

Entire Agreement#

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and USSDK regarding the Service.

Severability#

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Assignment#

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Waiver#

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Force Majeure#

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, or network failures.
